AGREEMENT TO TERMS

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "Client," or "You") and DuskTide Media L.L.C-FZ ("Company," "we," "us," or "our"), governing your access to and use of all content, services, and products offered through pluginaisystem.com (the "Service").

By accessing our website, purchasing our products, subscribing to any of our services, or participating in any related programs, you confirm that you have read, understood, and agreed to these Terms without limitation or qualification. Custom AI agent development and deployment

Business operations audit and automation

AI security hardening and cost optimization

Model routing and token cost management

Consulting on AI implementation strategy and workflow automation

Advertising management (Meta, Google, YouTube, etc.)

Services may be delivered through phone calls, video conferencing, email, or other digital platforms. The Company reserves the right to update, amend, or discontinue any Service without notice.

ACCOUNT REGISTRATION

You may be required to create an account or complete an application to access certain Services. You agree to:

Provide accurate, current, and complete information;

Maintain and promptly update your information;

Not impersonate any person or entity;

Maintain confidentiality of any login credentials.

You are solely responsible for all activities under your account. We are not liable for any loss or damage resulting from unauthorized access.

CLIENT APPLICATIONS & ACCEPTANCE

Participation in any Service or program may require an application or direct approval. We reserve discretion in evaluating and accepting applicants based on business and service criteria. Submission of an application does not guarantee acceptance. We reserve the right to withdraw or cancel access to any Service, at any time, if we determine the applicant has misrepresented themselves or violated any terms.

FEES, PAYMENTS, AND BILLING

All Services are priced in U.S. Dollars (USD) unless otherwise stated. You agree to:

Pay all fees as outlined in the invoice or checkout process;

Complete all installment payments in a timely manner;

Maintain valid billing information for recurring charges.

Refund Policy: Unless explicitly stated otherwise in writing, all payments are final and non-refundable.

Payment Default: If a payment fails or is reversed (e.g., chargeback), we reserve the right to:

Suspend access to services;

Send the matter to collections;

Pursue legal action.

You remain liable for all fees under any agreed-upon payment plan, regardless of usage or satisfaction.

INTELLECTUAL PROPERTY

All content, tools, documents, systems, strategies, and frameworks provided by DuskTide Media L.L.C-FZ, including anything marked proprietary or confidential, are the exclusive property of the Company.

You receive a non-exclusive, non-transferable, limited-use license for internal use. You may not:

Reproduce, redistribute, resell, sublicense, or modify any materials;

Train others using our IP without prior written approval;

Claim ownership over any of our work.

Any unauthorized use constitutes a violation of copyright, trade secret, and/or trademark laws and may result in legal action.

CONFIDENTIALITY

You agree to keep confidential any and all proprietary materials, know-how, trade secrets, strategies, internal communications, and processes shared through our programs.

This obligation survives the termination of your agreement with us. You agree to:

Not disclose or share confidential materials with external parties;

Not use confidential information for competitive purposes;

Take commercially reasonable precautions to prevent unintentional disclosure.

Violation of this section may result in immediate termination of access and legal remedies.

DISCLAIMERS & LIMITATION OF LIABILITY

No Guarantees: All business outcomes, including financial gain, cost savings, operational efficiency, or revenue growth, are not guaranteed and depend on multiple variables beyond our control.

Third-Party Risk: We are not responsible for platform changes (e.g., AI model pricing, API policies, algorithms), outages, or data loss caused by third-party tools or AI providers.

Limitation of Liability: To the maximum extent permitted by law, we shall not be liable for indirect, incidental, punitive, or consequential damages, including lost revenue, clients, goodwill, or profits.

In no event shall our total liability exceed the amount paid by you to us for the Service within the six (6) months prior to the claim.

USER CONDUCT

You agree to act in good faith and maintain a respectful, professional relationship with our team. You may not:

Use the website for unlawful purposes;

Harass, abuse, defame, or threaten any member of our team;

Post false or misleading information;

Circumvent access controls or platform protections.

We reserve the right to revoke access without refund if you violate these standards.

THIRD-PARTY SERVICES

We may integrate or recommend third-party services (e.g., Meta Ads, Google Ads, YouTube, Calendly, Typeform, AI model providers including OpenAI, Anthropic, Google, and others). You acknowledge:

We are not liable for third-party policies or failures;

You are responsible for compliance with third-party terms;

We do not make guarantees about external platform performance;

AI model outputs may vary and are not guaranteed to be error-free.

TERM & TERMINATION

These Terms remain in effect unless terminated in writing. We may terminate your access at any time, without notice, if you:

Fail to comply with these Terms;

Engage in unethical or abusive behavior;

Default on payments;

Breach confidentiality or IP provisions.

You may not terminate a payment agreement early without written approval. All amounts due remain payable.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless DuskTide Media L.L.C-FZ, its officers, directors, employees, contractors, and affiliates from and against any claims, damages, liabilities, costs, or expenses (including legal fees) arising out of or related to:

Your use of the Service;

Your breach of these Terms;

Your violation of any law or third-party rights.

GOVERNING LAW & DISPUTE RESOLUTION

These Terms shall be governed by and interpreted in accordance with the laws of the United Arab Emirates, including the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data where applicable.

Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the United Arab Emirates.

MODIFICATIONS

We reserve the right to modify or update these Terms at any time without notice. Updates will be posted on this page with an updated Effective Date. Your continued use of the website or services constitutes acceptance of any revised Terms.

ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Disclaimer, and any service-specific agreements, constitute the entire agreement between you and DuskTide Media L.L.C-FZ and supersede all prior or contemporaneous understandings, communications, or representations.
